These Terms and Conditions ("Terms") govern your access to and use of the Hemparella Natural Products LLC website (hemparella.com or any associated sites), online store, products, services, and any related mobile applications or platforms (collectively, the "Services"). By accessing or using our Services, making a purchase, or creating an account, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

Hemparella Natural Products LLC ("Company," "we," "us," or "our") reserves the right to update, modify, or replace these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

1. Eligibility and Age Restriction

You must be at least 21 years of age to purchase any CBD, THC, hemp-derived, or related products from Hemparella Natural Products LLC. By placing an order or using the Services to purchase such products, you represent and warrant that you are 21 years of age or older.

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use our Services for non-restricted purposes. We reserve the right to refuse service to anyone for any reason and may require age verification (such as government-issued ID) before fulfilling any order involving CBD or THC products.

2. Products and Information

Our products include natural hemp-derived items, CBD, THC, botanicals, skincare, body care, and related wellness products. All products are for external use only.

Product Labeling & Disclosures:

• Full ingredients lists are provided on each product label.

• Net quantity (weight/volume) is clearly stated on every product label.

• Manufacturer: Products with THC/Delta-9 are manufactured for Hemparella Natural Products LLC by D Squared Worldwide (dsquaredworldwide.com) / Nano Hemp Tech Labs.

• All product descriptions, images, and information on our website are for informational purposes only and may contain inaccuracies. We reserve the right to correct errors or update information without prior notice.

• Our products do NOT contain Marijuana. Hemparella products are UPS approved for low THC Hemp shipments. Please contact UPS Corporate Customer Compliance at customercompliance@ups.com with any additional questions.

• Enteties requiring our Certificates of Analysis (COA), please email us directly.

Important Disclaimers – No Disease Claims:

• Our products are not intended to diagnose, treat, cure, or prevent any disease.

• No statements or claims about our products have been evaluated by the FDA.

• Hemp-derived products may contain trace amounts of THC (generally <0.3% delta-9-THC per federal law). Compliance with all state and local laws is your responsibility. We do not guarantee legality in your jurisdiction.

3. Orders, Pricing, and Payments

• All orders are subject to acceptance and availability. We may cancel or limit orders at our discretion, including any order where age verification fails.

• We only ship within the United States. We do not accept or fulfill international orders.

• Prices are in U.S. Dollars and exclude shipping and taxes (added at checkout).

• We accept major credit/debit cards and other specified payment methods at checkout. Payments are processed securely.

• Title to products passes to you upon shipment from our facility. Risk of loss passes upon delivery to the carrier.

• You agree to provide accurate U.S. billing and shipping information and authorize charges to your payment method.

4. Shipping and Delivery

We currently ship only to addresses within the United States. Shipping times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers or events beyond our control. Risk of loss or damage passes to you upon handover to the carrier. You are responsible for any applicable sales taxes.

5. Returns, Refunds, and Cancellations

All sales are final. We do not offer refunds, returns, or exchanges for any reason.

This includes opened, used, or unused products. Due to the nature of our hemp-derived and wellness products, we cannot accept returns for health, hygiene, and safety reasons.

Cancellations may only be accepted before the order has been shipped. Once shipped, no cancellations are permitted.

Exceptions may apply only where required by applicable law (e.g., defective products in certain states). Please contact us prior to purchase if you have any questions.

6. Intellectual Property

All content on our Services (text, graphics, logos, images, trademarks, copyrights, etc.) is owned by or licensed to Hemparella Natural Products LLC and protected by U.S. intellectual property laws. You may not copy, reproduce, modify, distribute, or commercially exploit any content without our prior written consent.

Our trademarks (e.g., "Hemparella," logos) may not be used without permission. Any unauthorized use may violate U.S. intellectual property laws.

7. User Conduct and Accounts

If you create an account, you are responsible for maintaining confidentiality of your login credentials and all activities under your account. Notify us immediately of any unauthorized use.

You agree not to:

• Use the Services for unlawful purposes or to violate any laws (including hemp/CBD/THC regulations).

• Transmit harmful code, spam, or interfere with the Services.

• Harvest user data or engage in scraping.

• Impersonate others or provide false information.

We may suspend or terminate your account at our discretion for violations.

9. Disclaimers and Limitations of Liability

THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT).

We do not warrant that the Services will be uninterrupted, error-free, or secure. We disclaim all liability for product misuse, allergic reactions, or interactions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES/PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

Some jurisdictions do not allow certain exclusions; liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hemparella Natural Products LLC, its officers, directors, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or products, violation of these Terms, or infringement of third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Putnam County.

You agree to waive any right to a jury trial and consent to binding arbitration for individual disputes (except where prohibited by law) under the rules of the American Arbitration Association. Class action waivers apply.

12. Miscellaneous

• Severability: If any provision is held invalid, the remainder remains in effect.

• Waiver: Our failure to enforce a right does not waive it.

• Assignment: You may not assign these Terms; we may assign freely.

• Entire Agreement: These Terms (along with our Privacy Policy, etc.) constitute the full agreement.

• No Third-Party Beneficiaries: These Terms are made solely for the benefit of the parties hereto and their respective successors and permitted assigns. Nothing in these Terms shall be construed to confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever.

• Force Majeure: We are not liable for delays due to events beyond our control.
